AllocationThe resource layer
Trust-owned companies that receive, hold and deploy resources. Value moves through structure, not through you.
The Work, Plainly Stated
Allocation builds the operating layer: a holdings trust that owns and never transacts, the companies beneath it that do the work, and the credit, banking, books and secured position that make the whole thing bankable. Resources arrive to an entity, are held by the trust layer, and are deployed by you as administrator.
Start here if you are ready to operate: banking, business standing, credit that is not built on your signature, and entity-level separation for everything you do.
What You Receive
MODULE B1
The Holdings Trust
The trust that holds and nothing else. It transacts nowhere, takes title to nothing, and owns the companies that carry the activity. A short instrument, formed where the law was written for exactly this.
MODULE B2
The Tax Election
The election that makes the holdings layer one taxpayer filing one return at the corporate rate. Chosen deliberately, made on time, with the commitment it carries treated as the protection it is.
MODULE B3
The Constraints That Decide It
A small number of thresholds decide whether this layer works as intended or quietly becomes punitive. How the instrument is written so none of them can be crossed by accident, and what has to happen before each year closes.
MODULE B4
Operating Companies
The companies that transact, employ, sign and carry the risk — each owned and managed by the holdings layer, each walled from the others, with the management agreement between them that pays for real work at a real rate, and nothing paid upward as a fee.
MODULE B5
Business Banking, EIN & Business File
Every entity with its own number, its own bank and its own business file, opened in the right order and at separate institutions, so one problem never reaches two accounts.
MODULE B6
Business Credit Ladder
Entity credit built from nothing to real limits in stages: the trade file first, then issuers that underwrite the business instead of asking for your signature, then a bank line. Built on genuine third-party trade, because the bureaus screen for the shortcut. Borrowed money is capital, not income.
MODULE B7
Secured Position
Why the holdings layer stands first in line when anything goes wrong, how that position is created and perfected, and what has to be renewed to keep it for as long as the structure lives.
MODULE B8
Property & Land Engine
How the structure acquires, holds and improves real property: which entity takes title and which never does, what the first year of deductions actually looks like, and financing that closes without your personal guarantee.
MODULE B9
Debt, Interest & the Write-Off
Which interest is deductible, at which layer, and the ceiling to watch as the structure grows. The difference between debt that builds it and debt that eats it.
MODULE B10
Corporate Finance, Insurance & the Books
The coverage schedule an operating structure needs rather than the one it is usually sold, the key-person policy the company itself owns, and books kept per entity to a standard a lender will read without argument.
When this framework is in place
- A holdings trust that owns and manages your operating companies, each with its own number and its own banking
- One income return at the corporate rate, filed by the layer built to file it
- Business credit that builds on the entity rather than on your personal signature
- A perfected secured position that puts the trust layer first in line
- Property acquired, titled and financed without your personal guarantee
- Books and coverage that match the structure from day one
Your books, kept every month
The holdings trust and each company under it: operating, lending and property. You close each month and sign it. Your preparer works from the worksheets.
- Bank statements imported, and payees remembered as you sort them
- A full journal and a monthly close, signed by you
- Consolidated statements across the whole stack
- Property and depreciation schedules
- Loans between your entities, kept on both sides
- Payroll for the people who hold a role
- Wallet lots, kept the way a 1099-DA reads
- The reserve and the monthly sweep
- A Form 1120 worksheet your preparer files from
- Export of every book, any time
Allocation, Answered
Do I need Administration in place first?
No. Allocation is complete on its own, and it is delivered with the papers that standing alone calls for. Add Administration later and a single one-page instrument moves your interest into the private trust. Nothing is redrafted.
Does this work if I already have an LLC?
Often, yes. Existing companies can frequently be brought under trust ownership rather than replaced. The consultation reviews what you have and what is worth keeping.
What does "resources move through structure" mean in practice?
Income arrives to a company, is held by the trust layer, and is deployed by you as administrator. Your personal name stops being the container for everything you earn and own.
Ready to See Allocation Formed for You?
Thirty minutes. Private. You leave with a specific recommendation for your situation, whether or not we build together.
